主要依据《中华人民共和国环境保护法》。拟出台《贵州省环境

保护条例》。

   Regulations and Measures on Environmental Protection

In accordance with “Environmental Protection Law of the People’s Republic of China”, it’s planned to stipulate “Environmental Protection Regulations of Guizhou Province”.

进出口规定

贵州省实行积极的对外开放政策，除国家限制、禁止进出口商

品外，都实行促进政策。

   Rules of Import and Export

Guizhou Province implement the active open-up policies, and following promotion policies excluding commodities restrict to import and export by the State.

外汇管理

外汇管理依据《中华人民共和国外汇管理条例》。全省有36家银行网点使用外汇管理系统，办理外汇业务相当方便。

Foreign Exchange Management

Enterprises which involved in foreign exchange affairs abide by the Regulations on Foreign Exchange Management of the People`s Republic of China, There are 36 banks in Guizhou Province equipped with foreign exchange management system. So, it is very convenient for customers.

(二)设立企业程序

投资方式

外国公司、企业和其他经济组织或个人、香港、澳门、台湾

的公司、企业和其他经济组织或个人，均可以选择以下方式在贵州投资：

-举办中外合资经营、合作经营企业，举办外资(外商独资)企业，外商投资股份有限公司；

-转让先进适用技术；

-承包各租赁经营企业，开发矿产资源；

-承包开发荒山、荒坡和水面资源；

-依法取得土地使用权、人事房地产、旅游等开发经营项目；

-采取收购、兼并、参股等方式参与国有企业的改组、改造；

-BOT、TOT方式；

-法律法规允许的其他投资形式。

(ii)Procedure of Establishing a Foreign Invested Enterprise

WAYS OF INVESTMENT

Foreign companies, enterprises and economic organizations

and individuals, as well as those in HongKong, Macao and Taiwan are all welcome to invest in Guizhou Province by choosing any ways of the following:

-To start Sino-foreign joint ventures, cooperative enterprises and exclusive investment in enterprises, and to inaugurate limited company(Ltd.).

-To transfer the useful advanced technologies.

-To operate enterprises by concluding contracts or on lease, to explore mineral resources.

-To develop waste mountain and hill, and to develop the aquatic resources by concluding contract.

-To acquire the right to use land to develop real estate and tourism items according to the law & regulations

-To participate in the reorganization of state-owned enterprises by buying, merging and stocking.

-BOT, TOT form

-To invest in other forms of business permissible by the laws and regulations

-自由兑换货币；

-机器设备、原料及其他物资作价；

-生产所需的工业产权、专有技术或其他财产权利等作价。

KINDS OF CAPITAL TO INVEST

The investment may be in the following three forms:

-Free convertible currency.

-The evaluated machinery, equipment, raw material and other goods and materials.

-The evaluated right of industrial property, technique for special use or right of other properties that are needed in production.

外商投资企业申报审批程序

(1)编报项目申请报告。凡符合国家《外商投资产业目录》中

鼓励类、允许类，不使用政府投资建设，进口原材料和出口产品不涉及配额，许可管理的，总投资在1亿美元以下的中外合资、中外合作、外商独资、外商购并企业、外商投资企业增资等各类外商企业由我省发展改革部门核准项目申请报告。

(2)申报设立外商独资企业。经我省发展改革部门核准项目申

请报告后，将中外各方所签订的合同、章程等有关文件，报所在地商务主管部门审批。

(3)办理有关登记手续。外商投资企业凭批准文件、批准证书

及有关文件，向贵州省工商行政管理局申请办理注册登记手续，然后分别向贵阳海关、贵州省外汇管理局，企业所在地税务局等部门申请办理有关登记手续。

THE WORKING PROCEDURE TO APPLY FOR STARTING FORINGN INVESTED ENTERPRISES AND EXAMINATION

(1)Work Out Project Proposal

The project application report provided by joint venture, cooperative, exclusive foreign investment, offshore investment, offshore investor merger and capital increase on the following projects should approved by Development and Reform Committee of Guizhou Province; those project which are in concord with encouraged and permitted category within the nation’s Catalogue for Foreign Investment Industries, which no government investment is needed, which import non-quota material and export non-licensed product, which have a total investment under USD 100 million.

(2)Apply for Establishing Foreign Invested Enterprises

  When their application report for setting up a joint venture, cooperative, exclusive foreign investment, offshore investor merger and capital increase is examined and approved by the Development and Reform Committee of Guizhou Province, the applicants are required to present all the concerned document including contract and regulation signed by all the parties to the local department of commerce to be examined and approved.

(3)Registration of Businesses

   The person in charge of the foreign enterprise need to have his businesses registered by presenting the approved documents, certificates and other relative documents to the industry & Commerce administration Bureau of this province, then to have then registered at Guiyang Customs house. The Foreign Exchange Management Bureau of Guizhou Province and at the Taxation Administration in the location of their businesses.

     雇工规定

     依据《中华人民共和国劳动法》、《外商投资企业劳动管理规定》，外商投资企业可以根据生产经营的需要，自行确定机构设置和人员编制，并自行进行人员招聘。

     Regulations on Employment

     According to Labor Law of the People1`s Republic of China, Regulations on Labor Management in Enterprises Involving Overseas Investment and other related regulations, enterprises with foreign investment have the right to decide on the arrangement of the departments and working staff and to conduct recruiting new employees in gear to the need of production and management.

工作和居留许可

外国人在贵州申办签证需提供：1.有效护照及复印件；2.申办事由证明；3.填写外国人《签证、居民许可申请表》，交一张近期二寸免冠照片。

外国人申办居留许可需提供：1.有效护照及复印件；2.提供相关证明；3.填写外国人签证、居留许可申请表；4.交近期免冠照片两张；5.法定健康证明；6.劳动就业许可证或专家证；7.在华留学的提供所在学校出具的证明。

Work and Residence Permit

Documents needed to be submit for visa application:1.a valid passport and its copy; 2.reason for visa application; 3.fill the visa and residence permission application form and submit a 2-inch recent photo without hat.

Documents needed to be submit for residence permission:1.submit a valid passport and its copy; 2. submit relevant evidentiary materials; 3.fill visa and residence application form; 4.submit 2 2-inch recent photo without hat; 5.medical certificate; 6.employment permission certificate or expert certificate; 7.an overseas student shall submit evidentiary material issued by the school.

城市生活环境

全省生态环境保护和建设继续推进，城市生活环境明显改善。

全省森林覆盖率34.9%，省会贵阳有“林城”之称；纳入监测的9个中心城市集中式饮用水源地水质全部达到国家规定标准；城市环境空气质量总体趋于好转，满足国家二级标准的城市比例达到58.3%；噪声污染控制取得明显效果，区域声环境质量良好；辐射环境质量稳定，仍然维持在天然本底值涨落范围。全省最冷月(1月)平均气温多在3-6摄氏度，最热月(7月)平均气温一般在22 -25摄氏度；省会贵阳市和历史名城遵义市是国家级重点城市，其它中心城市也很适合居住。

City Habitation

The protection and construction of provincial environment has been continued, and city habitation has been improved obviously. The forest coverage rate in the province is 34.9%, and Guiyang, the provincial capital city, is entitled “the City of Forest”. Of all 9 central cities under supervision, water quality of source place satisfied national standard. Air quality of cities is becoming better, and 58.3% of cities up to the second level standard. The control of noise pollution is effective, and regional sound environment is perfect. The quality of radiance environment is stable, maintaining the natural up-and-down scope of background value. The average temperature of the coldest month (January) is from 3℃ to 6℃, and of the hottest month (July) is from 22℃ to 25℃. The capital city of Guiyang and the historical famous city of Zunyi is key city of State level, other central cities are also suitable for residence.

教育、医疗卫生：全省建立了完整的基础教育、职业教育、特

殊教育体系。高中阶段、高等教育取得新进展，现有普通高中473所，普通高等学校33所，研究生培养单位7个。贵州大学进入“211工程”，是国家重点大学。全省共有卫生机构6571所。全省卫生人员总数92121人，其中技术人员77805人，占人员总数的84.46%。

     Education and Public Health

     Complete education system have been established in the province including basic education, professional education and special education. New progress have achieved in senior high school level education and higher education. Now ,there are 473 senior high schools,33 universities and colleges,7 institutions which enroll graduated students in the province. Of them, Guizhou University entered the 211-project of the State indicated it is looked as one of the crucial universities in the Country. There are 6571 medical institutions with 92121 staffs. Of them, technical staffs accounts for 77805, it takes 84.46% .
